Terms of Service
Welcome to www.cloudnerdz.io (the “Site”) and the PostPro application (registered with TikTok for Developers, with Meta, with Google, with LinkedIn, and with X as CLDNRDZ-PostPro, hereafter “PostPro”). These Terms of Service (“Terms”) govern your access to and use of the Site, PostPro, and any services, features, or content offered through them (collectively, the “Services”). The Site and PostPro are operated by CloudNerdz LLC, a Wisconsin limited liability company (brand: CLDNRDZ; “CloudNerdz,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.
Eligibility
You must be at least 18 years of age to use the Services and submit information through our forms. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
Description of Services
The Site provides information about CloudNerdz and the services we offer, including our four practice areas (workflow automations, AI agents, content pipelines, and tool integrations). Through the Site, you may submit your contact information (such as your name, email address, and message) via our intake forms, including the chat widget and the “book a call” form.
PostPro (CLDNRDZ-PostPro) is a self-hosted scheduling tool used by CloudNerdz LLC and its invited collaborators and clients to plan and publish TikTok, YouTube, Meta (Facebook, Instagram, and Threads), LinkedIn, and X content. PostPro is invitation-only: there is no public sign-up, and access is provisioned manually by a CloudNerdz LLC operator. Authorized users are limited to (a) CloudNerdz LLC team members, (b) named collaborators, and (c) clients of CloudNerdz LLC with an active engagement (each, an “Authorized User”). Authorized Users may connect TikTok accounts, YouTube channels, Facebook Pages, Instagram accounts, Threads profiles, LinkedIn profiles or Company Pages, and X accounts they own to PostPro through each platform’s OAuth flow so that CloudNerdz LLC may schedule and publish content on their behalf. PostPro integrates with the TikTok Login Kit, the TikTok Content Posting API, YouTube API Services (the YouTube Data API and YouTube Analytics API), the Meta Graph API (Facebook, Instagram, and Threads), the LinkedIn API, and the X API (OAuth 1.0a) solely for the purposes described on our PostPro page and Privacy Policy.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
User Conduct
When using the Services, you agree not to:
- Provide false, misleading, or inaccurate information through any form on the Site or in PostPro.
- Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law.
- Attempt to gain unauthorized access to the Services, their servers, or any systems or networks connected to them — including attempting to sign in to PostPro without authorization.
- Interfere with or disrupt the operation of the Services, including by transmitting viruses, malware, or other harmful code.
- Use automated systems, bots, scrapers, or similar tools to access or collect data from the Services without our express written permission.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Services to send unsolicited communications, spam, or promotional material to us or other users.
- Use any data obtained through PostPro's TikTok integration in any way that violates the TikTok Developer Terms of Service or TikTok Developer Platform policies.
- Use any data obtained through PostPro's YouTube integration in any way that violates the YouTube Terms of Service, the YouTube API Services Terms of Service, or the Google API Services User Data Policy.
- Use any data obtained through PostPro's Meta integration (Facebook, Instagram, or Threads) in any way that violates the Meta Platform Terms or the Meta Developer Policies.
- Use any data obtained through PostPro's LinkedIn integration in any way that violates the LinkedIn API Terms of Use or the LinkedIn Developer Program terms.
- Use any data obtained through PostPro's X integration in any way that violates the X Developer Agreement and Policy.
We reserve the right to restrict or terminate your access to the Services at our sole discretion if we believe you have violated these Terms.
Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, images, photographs, videos, design elements, code, and software — is the property of CloudNerdz LLC or its respective owners and is protected by copyright, trademark, and other intellectual property laws.
PostPro is built on the open-source Postiz project and is subject to that project’s license. The TikTok name, logo, and APIs are trademarks of TikTok Pte. Ltd. and ByteDance Ltd. YouTube and the YouTube logo are trademarks of Google LLC. Facebook, Instagram, Threads, and Meta are trademarks of Meta Platforms, Inc. LinkedIn is a trademark of LinkedIn Corporation. X is a trademark of X Corp. PostPro is not endorsed by or affiliated with TikTok, YouTube, Google, Meta, LinkedIn, or X.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Services without our prior written consent, except as permitted by applicable law.
Contact Form Submissions
By submitting your contact information through our forms on the Site, you acknowledge and agree that:
- The information you provide is accurate and current.
- We may use your information to respond to your inquiry and for the purposes described in our Privacy Policy.
- You consent to receiving email communications from us in response to your inquiry.
Any content, feedback, suggestions, or ideas you submit to us through the Services become our property, and we are under no obligation to treat such submissions as confidential or to compensate you for them.
Third-Party Services and Links
The Services may contain links to, and integrate with, third-party websites, services, or APIs that are not owned or controlled by us — including TikTok, Google/YouTube, Meta (Facebook, Instagram, Threads), LinkedIn, X, OpenAI, Slack, Vercel, and Upstash. We are not responsible for the content, privacy practices, or terms of any third-party services. We encourage you to review the terms and policies of any third party whose services you interact with through us, including the TikTok Terms of Service and TikTok Privacy Policy.
YouTube API Services
PostPro uses YouTube API Services. By connecting a YouTube channel to PostPro or otherwise using PostPro’s YouTube features, you agree to be bound by the YouTube Terms of Service. Google’s handling of information collected through YouTube API Services is described in the Google Privacy Policy. You can revoke PostPro’s access to your Google data at any time via your Google security settings. Details of what Google user data PostPro accesses, uses, and stores are set out in our Privacy Policy.
Meta Platforms (Facebook, Instagram & Threads)
PostPro integrates with Meta platforms via the Meta Graph API. By connecting a Facebook Page, Instagram professional account, or Threads profile to PostPro, you agree to be bound by the Meta Terms of Service and, where applicable, the Instagram Terms of Use and Threads Terms. Meta’s handling of information collected through its APIs is described in the Meta Privacy Policy. You can revoke PostPro’s access at any time via your Facebook Business Integrations settings or the equivalent Instagram and Threads app-permission settings. Details of what Meta user data PostPro accesses, uses, and stores are set out in our Privacy Policy.
PostPro integrates with LinkedIn via the LinkedIn API. By connecting a LinkedIn member profile or Company Page to PostPro, you agree to be bound by the LinkedIn User Agreement. LinkedIn’s handling of information collected through its APIs is described in the LinkedIn Privacy Policy. You can revoke PostPro’s access at any time via your LinkedIn Permitted Services settings. Company Page publishing depends on LinkedIn’s Community Management API, for which PostPro’s access is pending approval. Details of what LinkedIn user data PostPro accesses, uses, and stores are set out in our Privacy Policy.
X (Twitter)
PostPro integrates with X (formerly Twitter) via the X API using OAuth 1.0a. By connecting an X account to PostPro, you agree to be bound by the X Terms of Service, and — for the developer application — the X Developer Agreement and Policy. X’s handling of information collected through its APIs is described in the X Privacy Policy. You can revoke PostPro’s access at any time via your X Connected apps settings. Because X uses OAuth 1.0a, PostPro holds a single Read-and-write application permission rather than granular scopes. Details of what X user data PostPro accesses, uses, and stores are set out in our Privacy Policy.

- Any defects or errors in the Services will be corrected.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLOUDNERDZ LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless CloudNerdz LLC and its members, managers, employees, agents, contractors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any applicable law or the rights of any third party.
- Any information you submit through the Services.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and you consent to the personal jurisdiction of such courts.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloudNerdz LLC regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral.
